Non-Disclosure Agreement

**CONFIDENTIALITY AGREEMENT**

This Confidentiality Agreement ("Agreement") is made as of [ DATE ] ("Effective Date"), by and between YOUR COMPANY, with details to be provided on meeting confirmation, ("Disclosing Party") and Lex Data, with details to be provided on meeting confirmation, ("Receiving Party"). The parties agree as follows:

1. **Purpose**: The purpose of this Agreement is to cover under NDA any information disclosed by the Disclosing Party during a meeting with Lex Data concerning the specific matter addressed.

2. **Definitions**:
- "Confidential Information" refers to all information disclosed in any form by the Disclosing Party during the meeting, including verbal, written, or electronic formats, that is marked or otherwise identified as confidential or that would reasonably be considered confidential.

3. **Obligations of Receiving Party**:
- The Receiving Party agrees not to disclose the Confidential Information to any third party without the prior written consent of the Disclosing Party.
- The Receiving Party shall restrict the dissemination of Confidential Information solely to individuals who have a legitimate need to know, which includes meeting participants, and ensure they are bound by confidentiality agreements.

4. **Exclusions**:
- Confidential Information does not include information that:
- Is generally available to the public through no fault of the Receiving Party.
- Was rightfully in the possession of the Receiving Party prior to disclosure.
- Is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

5. **Term**:
- This Agreement shall remain in effect until such time as all Confidential Information becomes publicly known through no act of the Receiving Party.

6. **Return/Destruction of Materials**:
- Upon termination of this Agreement, the Receiving Party agrees to return or destroy all materials embodying Confidential Information.

7. **Miscellaneous**:
- This Agreement contains the entire agreement between the parties relating to the Confidential Information and supersedes all prior negotiations or agreements.
- Any modifications to this Agreement must be in writing and agreed upon by both parties.
